1. Acceptance of These Terms
These Terms and Conditions (“Terms”) govern your access to and use of the RADA Miami website located at radamiami.com (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
The Site is provided byRada Design Inc, or the applicable RADA-affiliated operating entity identified in the Site footer or contact information “Rada Design Inc. (“RADA”, “we”, “us”, or “our”)”
2. Site Purpose
The Site is intended to provide general information about RADA’s upholstery, soft furnishings, custom furniture, window treatment, residential, marine, hospitality, and related design or fabrication services, and to allow prospective customers, designers, and commercial partners to contact us regarding potential projects.
The Site does not presently present public e-commerce checkout functionality, user account registration, or online order placement. Any project scope, timing, pricing, deposit, material selections, warranties, installation, shipping, and other commercial terms are handled separately through proposals, work orders, invoices, or other written agreements issued by RADA.
3. Eligibility and Permitted Use
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that could damage, disable, overburden, or impair the Site or interfere with any other party’s use of it.
You may not attempt to gain unauthorized access to any part of the Site, its servers, or associated systems; introduce malicious code; scrape or harvest Site content for unauthorized commercial use; impersonate any person or entity; or submit false, misleading, infringing, or unlawful information through the Site.
4. Quotes, Estimates, and Project Information
Any information on the Site regarding services, capabilities, materials, prior work, timelines, or quality standards is for general informational purposes only and does not constitute a binding quote, offer, warranty, or commitment unless expressly set out in a signed writing from RADA.
Project estimates are typically based on scope, dimensions, materials, labor requirements, installation conditions, availability, and other variables. Final pricing and scheduling may change after consultation, measurements, site review, design development, sourcing, or fabrication review.
5. Intellectual Property
All content on the Site, including text, logos, graphics, photos, videos, project images, layout, design elements, and other materials, is owned by or licensed to RADA and is protected by applicable intellectual property laws.
You may view, download, or print limited portions of the Site for your own personal or internal business reference only. You may not reproduce, modify, distribute, publicly display, republish, create derivative works from, or commercially exploit Site content without RADA’s prior written consent.
6. User Submissions
If you submit an inquiry, project details, measurements, photos, inspiration images, feedback, or other materials through the Site, by email, or through linked social channels, you represent that you have the right to provide those materials and that they do not violate any law or third-party right.
You grant RADA a non-exclusive right to use submitted materials as reasonably necessary to review your request, communicate with you, prepare estimates, evaluate project feasibility, and perform related customer-service and business operations. RADA will handle personal information in accordance with its Privacy Policy.
7. Third-Party Links and Platforms
The Site may include links to third-party websites or platforms, including social media pages and external publications. Those third-party sites are not controlled by RADA, and RADA is not responsible for their content, security, privacy practices, terms, or availability.
Your interactions with any third-party website or service are solely between you and that third party.
8. No Professional Design Advice; No Warranties on Site Content
Content on the Site is provided for general informational and promotional purposes only. It is not architectural, engineering, code-compliance, marine-safety, interior-design, or other professional advice for your specific project.
To the fullest extent permitted by law, the Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
9. Limitation of Liability
To the fullest extent permitted by law, RADA shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to your use of, or inability to use, the Site, even if advised of the possibility of such damages.
To the fullest extent permitted by law, RADA’s aggregate liability arising from or related to the Site shall not exceed one hundred U.S. dollars (US$100). This limitation applies only to Site-related claims and does not modify any separate written agreement signed by RADA for paid services or project work.
10. Indemnification
You agree to defend, indemnify, and hold harmless RADA and its owners, officers, employees, contractors, and agents from and against claims, liabilities, damages, judgments, losses, and expenses arising out of or related to your misuse of the Site, your breach of these Terms, or your violation of any law or third-party right.
11. Privacy
Your use of the Site is also subject to the RADA Privacy Policy, which describes how RADA collects, uses, and discloses information through the Site.
12. Children’s Use
The Site is not directed to children under 13, and RADA does not knowingly collect personal information from children through the Site. If you believe a child has provided personal information through the Site, please contact RADA so the information can be deleted.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party consents to that jurisdiction and venue.
Before filing a claim, the parties agree to attempt in good faith to resolve the dispute informally.
14. Changes to These Terms
RADA may update these Terms from time to time by posting a revised version on the Site. The updated Terms will be effective as of the “Last Updated” date shown below. Your continued use of the Site after the updated Terms are posted constitutes your acceptance of the revised Terms.
